NSW Police said in a statement she passed away in hospital early on Sunday.
Officers from Port Stephens-Hunter Police District will prepare a report for the information of the Coroner.
The Newcastle Herald previously reported she was discovered unresponsive in a vehicle parked in the driveway of a Tanilba Bay home about 4.30pm on November 26.
Temperatures in the area reached the mid-30s that day, with Weatherzone observing an outside temperature of 27 degrees at Williamtown at 4.30pm.
NSW Ambulance paramedics treated her at the scene before the Westpac Rescue Helicopter critical care medical crew arrived and placed her in an induced coma.
She was airlifted to John Hunter Hospital in a critical condition.
A NSW Police spokesperson said no charges had been laid.
